Responsibilities:
The candidate shall be responsible for following:
Company Law
1. Ensure Compliance with as per Company Law requirements including MCA and FEMA
filings.
2. Prepare Notice, Agenda and Papers for board and general meetings along with follow-
up action points.
3. Convene and conduct actual board meetings with directors and shareholders.
4. Maintain statutory books, including registers of members, directors etc.
5. SEBI guidelines, FEMA and all other laws applicable to a company.
6. Ensure ODI compliance with regards to foreign remittances in India as well as Dubai,
Singapore and USA.
7. Liaison with Board members, shareholders, and management on strategic and relevant
aspects of Company Law compliances and Corporate Governance.
8. Liaison with external agencies like Law firms, Banks, RBI, RTA, NSDL, CDSL and other
institutions.
Contract Management
9. Draft, Review and Negotiate Contracts like SPA, SHA, NDA, MSA, SOW, Term Sheet and
other legal documents.
10. Should have knowledge of IP matters and management.
11. Proactive approach in legal agreements.
12. Continuous endeavor to improve and improvise standard templates.
Qualifications:
• We are looking to connect with CS professional and LLB graduates with 3 to 4 years
of experience.
• The candidate should have an in-depth knowledge of Company Law, FEMA, RBI
guidelines and Secretarial Standards.
• The candidate should possess excellent analytical, drafting, research and oral and
written communication skills.
• The candidate should be a quick learner and should demonstrate Behavioral skills
like Interpersonal Skills, Attention to details, Networking and Relationships
Management.
• The candidate should be able to provide mentorship and guidance to team members
and should have the ability to work independently and collaboratively in a dynamic startup
environment.
