Job Purpose

The Company Secretary - 3PL/FTL is critical in ensuring the company's governance and administrative functions are executed effectively. This strategic position links the Board of Directors, senior management, shareholders, and other stakeholders. The role involves compliance with legal, ethical, and regulatory standards and requires a broad skill set in finance, corporate law, and secretarial practices.


Job Duties

Governance and Compliance

  • Oversee the management and administration of the company.
  • Ensure all activities comply with legal, ethical, and regulatory standards.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Handle legal and regulatory filings.


Board Support

  • Organise and arrange meetings of the Board of Directors, management committees, and AGMs.
  • Prepare agendas and papers for board meetings, take minutes, and draft resolutions.
  • Ensure all resolutions are implemented and complied with according to the company’s Articles of Association.


Record Keeping

  • Maintain essential company documents and records.
  • Ensure accurate record-keeping and documentation of board activities and decisions.


Advisory Role

  • Provide business advisory to the Board of Directors on corporate governance, compliance, risk management, and strategy.
  • Advise and implement policies to ensure the organisation's sound management.


Shareholder Relations

  • Manage shareholder relations and ensure compliance with shareholder regulations.
  • Provide guidance and support for directors and executives in their roles and responsibilities.


Training and Development

  • Arrange training and briefing sessions for newly appointed directors.
  • Evaluate the Board of Directors' performance and support their continuous development.


Public Relations and Networking

  • Drive PR activities and maintain healthy communication between stakeholders, authorities, and government bodies.
  • Manage intellectual property rights and brand equity.


Required Qualifications

Knowledge

  • Deep understanding of corporate governance and compliance.
  • Knowledge of corporate law, finance, and secretarial practices.


Skills

  • Proficiency in legal, compliance, and governance processes.

Certifications

Technical Skills

  • Proficiency in using technology for governance and compliance processes.
  • Familiarity with corporate governance software and tools.
