Job Description: Company Secretary


Location: Ahmedabad

Industry: Premium Automobile

Salary: Up to 3.5 LPA


Position Overview:

We are looking for an experienced and dynamic Company Secretary to join our premium automobile company in Ahmedabad. The ideal candidate will play a crucial role in ensuring compliance with statutory and regulatory requirements while supporting the executive leadership team in corporate governance and strategic decision-making.


Key Responsibilities:


Corporate Governance: Ensure that the company complies with the statutory requirements under the Companies Act, 2013, and other relevant regulations.

Legal and Regulatory Compliance: Prepare and file documents, reports, and returns with the Registrar of Companies (ROC), Securities Exchange Board of India (SEBI), and other statutory bodies.

Board & Shareholder Meetings: Organize and attend board meetings, annual general meetings (AGMs), and other important shareholder meetings, and maintain accurate records of meeting minutes.

Liaison: Act as the primary liaison between the board of directors, management, and external stakeholders, including regulatory bodies.

Secretarial Support: Provide secretarial support to the board and assist in strategic decision-making processes.


Legal Documentation: Draft, review, and finalize various legal documents, including agreements, contracts, and memorandums of understanding (MOUs).

Risk Management: Help identify, assess, and mitigate legal and compliance risks.

Corporate Filings: Ensure timely and accurate filing of all corporate documents with appropriate authorities, including ROC, SEBI, and Ministry of Corporate Affairs (MCA).


Audit Coordination: Coordinate with internal and external auditors for audits and compliance assessments.

Compliance with Corporate Laws: Stay updated on the latest amendments in corporate laws, corporate governance policies, and other related regulations.

Shareholder Communication: Manage communication with shareholders, including reporting and responding to queries related to their investments.

Required Qualifications & Skills:


Educational Qualification:

Must be a qualified Company Secretary (CS) from ICSI.

A law degree or other relevant qualifications will be an added advantage.

Experience:

Minimum of 2-3 years of experience in a similar role, preferably in the automobile or manufacturing industry.

Skills:

Strong knowledge of Company Law, Corporate Governance, and Regulatory Compliance.

Expertise in legal documentation and preparing board resolutions.

Proficient in handling shareholder meetings and AGMs.

Analytical skills and the ability to manage multiple tasks under pressure.

Excellent communication and negotiation skills.

High level of integrity, ethics, and professionalism.

Technological Proficiency:

Proficient in MS Office, specifically Excel, Word, and PowerPoint.

Familiar with legal and secretarial software for compliance management.
