ISP Group is seeking a Senior-level Qualified Company Secretary for a full-time position at our Chennai location. The ideal candidate will demonstrate leadership and expertise in corporate governance, compliance management, and strategic planning. This role requires a seasoned professional capable of navigating complex legal frameworks and ensuring compliance with relevant regulations.
Qualifications and Skills
- Corporate governance expertise to ensure adherence to organizational policies and industry regulations (Mandatory skill).
- Demonstrated proficiency in compliance management, essential for maintaining the highest standard of regulatory compliance (Mandatory skill).
- Strategic planning and management capabilities to drive long-term business goals and initiatives (Mandatory skill).
- Experience in financial and audit oversight to monitor financial health and provide accurate reporting.
- Proficiency in legal advisory and risk management to minimize legal risks and protect company interests.
- Skilled in the preparation of notice, agenda, and minutes of board/general meetings, ensuring accuracy and legal compliance.
- Comprehensive understanding of the Companies Act 2013 and relevant laws to provide informed guidance and advice.
- Ability to effectively communicate and collaborate with senior management and stakeholders.
Roles and Responsibilities
- Lead the governance framework and ensure compliance with statutory obligations and best practices.
- Monitor changes in relevant legislation and the regulatory environment to advise the board accordingly.
- Coordinate the preparation and timely distribution of board materials, including minutes and agendas.
- Provide strategic guidance on risk management and oversee the implementation of risk management processes.
- Collaborate with legal and financial teams to ensure comprehensive compliance with the Companies Act 2013.
- Develop and implement corporate policies to reinforce governance and compliance standards.
- Conduct regular reviews and audits to ensure compliance with legal and ethical standards.
