Qualification - CS


Salary- Upto 10 LPA


Experience- Min. 7+ yrs as a CS (min. 5 yrs. exp.in manufacturing industry)


Location - Surat (Gujarat)


Key Responsibilities:


Corporate Governance:

Ensure that the company complies with statutory and regulatory requirements.

Advise the Board of Directors on corporate governance issues, including compliance with company policies and best practices.

Organize and prepare agendas for Board meetings, committee meetings, and annual general meetings (AGMs).


Regulatory Compliance:

Monitor changes in relevant legislation and the regulatory environment to ensure the company’s ongoing compliance.

File necessary documents and reports with government agencies and regulatory bodies.

Maintain records of licenses, permits, and certifications required for manufacturing operations.


Board Support:

Prepare and distribute minutes of Board meetings, committee meetings, and AGMs.

Facilitate communication between the Board and management.

Provide support in the planning and execution of Board meetings and shareholder meetings.


Legal Documentation:

Draft, review, and manage legal documents, including contracts, agreements, and corporate policies.

Ensure proper documentation and filing of corporate resolutions, minutes, and other statutory records.


Shareholder Relations:

Manage shareholder communications and relations.

Oversee the preparation and distribution of annual reports and other shareholder documents.

Handle shareholder inquiries and maintain the company’s shareholder register.


Compliance Monitoring:

Develop and implement compliance programs to ensure adherence to legal and industry-specific standards.

Conduct internal audits to assess compliance with legal and regulatory requirements.


Risk Management:

Assist in identifying and mitigating legal and compliance risks.

Provide guidance on risk management practices and policies.


Administration:

Manage company secretarial functions, including maintaining company registers and filing statutory forms.

Coordinate with external auditors, legal advisors, and regulatory bodies as needed.


NOTE: Candidates with a consistent job tenure are preferred. (Not too many job changes).
