Key Responsibilities: 

1. Regulatory Compliance: 

o Ensure compliance with corporate laws, SEBI regulations, and other statutory 

obligations. 

o File annual returns and other necessary documents with the Registrar of Companies 

(RoC). 

2. Corporate Governance: 

o Advise the board of directors on corporate governance best practices. 

o Prepare agendas, notices, and minutes for board meetings and general meetings. 

3. Documentation and Record Management: 

o Maintain statutory registers, records, and filings as per legal requirements. 

o Safeguard and manage company seal and legal documents. 

4. Liaison and Coordination: 

o Act as a liaison between the company, stakeholders, regulatory authorities, and 

external agencies. 

o Communicate with shareholders regarding dividends, shareholding, and other 

queries. 

5. Strategic Advisory: 

o Provide strategic advice to the management on legal and business issues. 

o Monitor changes in relevant laws and the regulatory environment and ensure the 

organization adapts to them. 

6. Risk Management: 

o Identify and address potential legal risks and ensure mitigation strategies are in 

place. 

o Ensure that business operations adhere to relevant ethical and legal standards. 

7. Other Responsibilities: 

o Assist in the implementation of corporate social responsibility (CSR) initiatives. 

o Support the organization in mergers, acquisitions, and restructuring processes. 

Required Qualifications and Skills: 

 Educational Qualification: Must hold a Company Secretary (CS) certification from The 

Institute of Company Secretaries of India (ICSI). 

 Experience: Minimum 2-3 of experience in a similar role, preferably in Handline legal 

matters, finance & Accounting background.  

 Skills: 

o In-depth knowledge of corporate laws, governance, and compliance. 

o Excellent verbal and written communication skills. 

o Strong organizational and multitasking skills. 

o Proficiency in MS Office and other relevant software. 

o Analytical and problem-solving skills.
